When should a company loop in the paying agent?
As soon as a transaction is signed or announced and shareholders need to be identified for pay-out reasons – whether that’s an M&A closing, a tender offer involving a non-US-incorporated company, cash distributions, or another liquidity event. Because Odyssey’s platform integrates directly with Carta, setup happens the same day the transaction is initiated. The earlier the paying agent is looped in, the sooner shareholder onboarding can run in parallel with the rest of the transaction, rather than becoming a bottleneck after signing.

What is a paying agent and what do they do?
